Directors are responsible for corporate risk oversight. One internal risk often overlooked is psychopathic behaviors from the CEO, management or even a fellow board member. Armed with charisma and intelligence, psychopaths have a seemingly innate ability to do or say whatever it takes to attain their goals. Unfortunately for directors, the impacts are often unseen and sudden, and the costs in performance loss and reputation can be devastating.
As Vice President of Global Security for Herbalife, Jana Monroe is responsible for all security functions throughout the company, including Executive Protection, Physical Security, Chair of the Cybersecurity Steering Team, Event Security, Employee and Property Security, Investigations, Business Continuity and Incident and Emergency Response. Herbalife has an expansive global reach being located in 94 countries and Jana is continuing to build the International security infrastructure. Jana joined Herbalife from the multi-billion dollar electric utility company, Southern California Edison Company (SCE), where she was the Chief Security Officer charged with transforming security services for SCE, a major part of the key national infrastructure. Business Resiliency was her responsibility, including the creation and management of SCE’s Emergency Operation’s Center; Threat Management Program; Information Asset Security; Intelligence and Risk Analysis; Compliance, Investigations; and Executive Protection. Jana also assumed a leadership role in developing external partnerships with federal, state, and local law enforcement, in addition to forging public/private alliances with security entities in all facets of private industry. Before entering the corporate arena, Jana had a distinguished 22-year career in the Federal Bureau of Investigation (FBI). She held a variety of increasingly responsible field investigative and operational positions, and executive leadership roles across the U.S., including five plus years as a “Criminal/Behavioral Profiler”Â at Quantico, VA. She was the first female profiler in the FBI’s Behavioral Analysis Unit, the unit portrayed in the TV show “Criminal Minds”Â. Her career culminated with Jana pioneering as one of few women in the FBI Executive Leadership ranks. She served as Special Agent in Charge (SAC) in Los Angeles, California, and Phoenix, Arizona two of the largest FBI field offices in the U.S.; and was the first Assistant Director of the FBI Cyber Division, based in Washington D.C.
Richard Munro is an experienced Board Member, international CEO and CFO, and consultant. He currently serves as a Director of UST, LLC., a private equity owned leading manufacturer of nutritional supplements since October 2014, as a Director of the Forum for Corporate Directors since 2007, and as CEO of Invenz, Inc. since 2008. Mr. Munro served as Managing Director of Newport Board Group from May 2014 to December 2017, and served as a Director and CEO of Naturade, Inc. (NRDC:OTCBB) from 2006 -2007, and served as a Director and Chairman of the Audit Committee for Orange County Headstart, Inc. from 2006 – 2009. Earlier in his career, Richard was a Director and CEO of Photo Holdings, Limited, Hanimex (NZ) Limited and several other New Zealand companies which were subsidiaries of Ricoh, Inc. of Japan, and was CFO of ETA Foods, Limited, a leading brand of consumer snacks, dressings, peanut butter and foodservice products, as a subsidiary of Nabisco, Inc. (NYSE). Richard is a current Board Leadership Fellow and member of NACD, a Director and member of The Forum for Corporate Directors, and a member of the Corporate Directors Roundtable of Orange County. He holds an MBA degree from Auckland University, a Bachelors’ degree in Accounting and Management Information Systems from the University of Canterbury, is a Chartered Accountant (CA) of New Zealand, and holds a California Real Estate Broker License BRE: 01900072.
Kathy Bazoian Phelps is lawyer, a board director on three non-profit boards, and a mediator. Kathy is a partner in the Los Angeles office of Diamond McCarthy LLP and has been a lawyer since 1991. Her focus is on bankruptcy law, fiduciary representation, and fraud litigation in bankruptcy and receivership cases. She is particularly knowledgeable about fraud detection and the administration of Ponzi scheme cases. Her books – The Ponzi Book: A Legal Resource for Unraveling Ponzi Schemes and Ponzi-Proof Your Investments: An Investor’s Guide to Unraveling Ponzi Schemes – have focused Kathy on the psychopathic, bullying, and other difficult behavior of corporate disruptors. She confronts head-on the issues that must be of concern to corporate boards in dealing with these types of difficult personalities.
Hoshi Printer has more than four decades of board, general and financial management experience spanning a wide range of industries. He is on the board of Lantronix, a public technology company, where he is the Chairman of the Audit Committee and a member of the Compensation committee and the Nominating / Governance committee. He also serves on the board of Standard Homeopathic Company (aka Hyland’s), a family owned company established in 1903. He is a Board Advisor to IMRI (Information Management Resources Inc.), TPS (Transient Plasma Systems, Inc.), and AerNos, Inc. He is a designated Board Leadership Fellow by NACD and is also a board member of its Southern California Chapter. He has served as CFO for ten technology companies in sectors that include the Internet, e-commerce, software, storage, and biosciences. He began his career at Xerox Corporation, where he spent 17 years, the last six as Vice President of Finance. He is the Vice Chair of the Stanford Business School Alumni Association of Orange County, was a member of the Executive Council of the Mihaylo College of Business at Cal State Fullerton, and served as the President of the Software Council of Southern California. His academic credentials include an M.B.A. from Stanford Business School, an M.S. in Industrial Engineering, and a B.S. in both Mechanical and Electrical Engineering. He served as Lieutenant in the U.S. Army and is a Vietnam veteran.
